These Terms & Conditions (“Terms”, “Agreement”, or “T&C”) constitute a legally binding agreement between MASHCOR LTD (“Mashcor”, “Provider”, “we”, “our”, or “us”) and any individual, business, entity, customer, subscriber, website visitor, or client (“Client”, “you”, or “your”) accessing or using any Mashcor website, platform, service, software, automation, AI system, digital marketing service, accessibility solution, advertising solution, or related product.
 
By purchasing, subscribing to, accessing, browsing, or using any Mashcor services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Scope of Services

Mashcor provides digital marketing, AI, accessibility, web development, automation, SEO, PPC, chatbot, voice AI, hosting, business listing, analytics, website optimization, social advertising, lead generation, reputation management, and related technology services.
 
Services may include:
• AI websites and AI-enabled personalization
• Pay Per Result SEO
• Search Engine Optimization (SEO)
• Search Box Optimization
• Google Advertising and PPC Management
• Facebook and Social Media Advertising
• AI Chatbots and AI Voice Agents
• Business Listings & Voice Search Optimization
• Website Accessibility Services
• Review Generation & Reputation Management
• Local Service Ads (LSA)
• Website Hosting & Development
• Analytics & Reporting Dashboards
• CRM and API Integrations
• Email Marketing & Automation
 
Mashcor reserves the right to modify, discontinue, suspend, improve, or replace any service offering at any time without liability.

3. Eligibility & Authority

You represent and warrant that:
• You are at least 18 years old;
• You possess full legal authority to enter this Agreement;
• You are authorized to bind any business or entity you represent;
• Your use of the Services complies with all applicable laws and regulations.

4. Accounts, Access & Credentials

Clients are responsible for maintaining the confidentiality of usernames, passwords, API keys, login credentials, payment credentials, integrations, and connected third-party services.
 
Clients must provide all necessary access required for Mashcor to perform the Services, including:
• Website access
• Hosting access
• DNS access
• Google Business Profile access
• Advertising account access
• CRM access
• Analytics access
• Social media access
 
Mashcor is not responsible for delays or reduced performance resulting from incomplete or delayed access provision.

5. Subscription Terms & Renewal

Unless otherwise agreed in writing:
• Services are subscription-based;
• Services renew automatically;
• Initial service terms may vary depending on the service purchased;
• Cancellation requires at least thirty (30) days written notice prior to renewal.
 
Mashcor may suspend or terminate Services for:
• Non-payment;
• Fraud;
• Abuse;
• Platform violations;
• Illegal activity;
• Excessive chargebacks;
• Misuse of Services.

6. Payment, Billing & Fees

By submitting payment, you authorize Mashcor and its payment processors to charge all applicable fees including subscriptions, setup fees, management fees, ad spend, overages, taxes, and recurring charges.
 
All fees are:
• Non-refundable unless required by law;
• Exclusive of taxes unless otherwise stated;
• Due immediately upon invoicing unless otherwise agreed.
 
Late payments may incur:
• Interest charges;
• Collection costs;
• Service suspension;
• Immediate termination.
 
Mashcor reserves the right to modify pricing with reasonable prior notice.

7. No Refund Policy

ALL PURCHASES ARE FINAL AND NON-REFUNDABLE TO THE MAXIMUM EXTENT PERMITTED BY LAW.
 
This includes:
• Marketing services
• SEO services
• AI services
• Accessibility services
• Hosting services
• Subscription services
• Setup fees
• Software-enabled services
• Consulting services
 
Clients agree not to initiate chargebacks in bad faith after receiving the benefit of the Services.

8. Intellectual Property

All Mashcor systems, software, code, automations, AI systems, workflows, templates, methodologies, branding, graphics, dashboards, scripts, widgets, and related intellectual property remain the exclusive property of Mashcor or its licensors.
 
Clients receive only a limited, revocable, non-exclusive, non-transferable license to use the Services.
 
Clients may not:
• Reverse engineer;
• Copy;
• Redistribute;
• Resell;
• Modify;
• Rebrand;
• Exploit;
• Decompile;
• Create derivative works from Mashcor intellectual property without written permission.

9. AI Services & Automation Disclaimer

Mashcor provides AI-enabled services including AI chatbots, AI voice agents, automations, and AI-generated outputs.
 
CLIENT ACKNOWLEDGES THAT:
• AI systems may generate inaccurate, incomplete, misleading, outdated, or fabricated outputs;
• AI systems can make mistakes similar to human representatives;
• AI-generated outputs should not be solely relied upon for legal, financial, healthcare, or critical business decisions.
 
Clients remain solely responsible for:
• AI prompts;
• AI training content;
• Public-facing outputs;
• Compliance with applicable laws;
• Communications sent through AI systems.

10. SEO, GEO & Marketing Disclaimer

Mashcor does not guarantee:
• Search rankings;
• AI-answer visibility;
• Lead volume;
• Website traffic;
• Revenue increases;
• Conversion rates;
• Return on advertising spend;
• Listing visibility;
• Google Maps placement;
• ChatGPT or AI visibility.
 
Results depend on multiple external factors including:
• Search engine algorithm updates;
• Competition;
• Website quality;
• Third-party platforms;
• Market conditions;
• Ad budgets;
• Customer behavior;
• Regulatory restrictions.

11. Accessibility Disclaimer

Mashcor may provide accessibility widgets, accessibility audits, monitoring, remediation, or accessibility-related implementations.
 
Accessibility compliance depends heavily on:
• Underlying website structure;
• Third-party integrations;
• Website content;
• Ongoing modifications by clients or third parties.
 
Mashcor does not guarantee compliance with:
• WCAG
• ADA
• Section 508
• EN 301 549
• UK accessibility regulations
• Any other accessibility laws or standards.
 
Clients remain solely responsible for legal accessibility compliance.

12. Third-Party Platforms

Mashcor relies on third-party providers including but not limited to:
• Google
• Meta/Facebook
• Microsoft
• OpenAI
• Anthropic
• Stripe
• Hosting providers
• Telecom providers
• Listings networks
• Cloud infrastructure providers
 
Mashcor is not responsible for:
• Platform suspensions;
• Algorithm changes;
• Ad account bans;
• Service interruptions;
• API changes;
• Third-party outages;
• Delisting;
• Policy changes.

13. Privacy & Data Use

Mashcor may collect, process, store, transmit, analyze, and use operational and service-related data necessary to provide and improve the Services.
 
Clients acknowledge and agree that:
• Data may be processed internationally;
• Third-party service providers may access data;
• Aggregated and de-identified data may be used for analytics, machine learning, benchmarking, AI model improvement, and operational purposes.
 
Clients are solely responsible for:
• Privacy notices;
• Obtaining required consent;
• Compliance with GDPR, UK GDPR, POPIA, CCPA, TCPA, CAN-SPAM, and related laws.

14. Communications & SMS Consent

By providing contact details, Clients consent to receive:
• Emails;
• SMS messages;
• AI-assisted communications;
• Service notices;
• Marketing communications;
• Operational notifications.
 
Standard carrier charges may apply.
 
Clients may opt out of marketing communications at any time, however operational and billing communications may still be sent.

15. Prohibited Use

Clients may not use Mashcor services to:
• Violate laws;
• Distribute spam;
• Engage in fraud;
• Send unlawful communications;
• Infringe intellectual property rights;
• Deploy malware;
• Mislead consumers;
• Engage in harassment or abuse;
• Conduct illegal scraping;
• Exploit minors;
• Operate unlawful schemes.
 
Mashcor reserves the right to suspend or terminate Services immediately where misuse is suspected.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
• Mashcor shall not be liable for indirect, incidental, punitive, consequential, or special damages;
• Mashcor shall not be liable for lost profits, lost revenue, downtime, business interruption, reputational harm, or data loss;
• Mashcor’s aggregate liability shall not exceed the amount paid by Client for the specific Service during the preceding twelve (12) months.
 
These limitations apply regardless of legal theory.

17. Indemnification

Clients agree to defend, indemnify, and hold harmless Mashcor, its affiliates, directors, employees, contractors, licensors, vendors, and partners from claims arising from:
• Client misuse;
• Client content;
• Client communications;
• Legal violations;
• Third-party claims;
• AI outputs approved by Client;
• Advertising violations;
• Data/privacy violations;
• Accessibility claims.

18. Force Majeure

Mashcor shall not be liable for delays or failures caused by circumstances beyond reasonable control including:
• Internet outages;
• Cloud failures;
• Cyberattacks;
• Natural disasters;
• Government actions;
• Telecommunications failures;
• Platform outages;
• Pandemics;
• War;
• Labor disputes.

19. Dispute Resolution & Arbitration

Any dispute arising under these Terms shall first be subject to informal good-faith negotiation.
 
Where permitted by law, disputes shall be resolved by binding arbitration on an individual basis.
 
Clients waive:
• Class actions;
• Representative proceedings;
• Jury trials to the maximum extent permitted by applicable law.

20. Governing Law

These Terms shall be governed by the laws of England and Wales.
 
Any disputes not subject to arbitration shall be subject to the exclusive jurisdiction of the courts of England and Wales.

21. Amendments

Mashcor may update these Terms at any time.
 
Updated versions become effective immediately upon publication on the Mashcor website.
 
Continued use of the Services constitutes acceptance of revised Terms.
